Terms of Service

Overview

PeerDrop is a platform that enables local shoppers (Peers) to purchase groceries from stores and provide them to online buyers (Patrons). These “Terms of Services'' or “Terms and Conditions'' govern your use of PeerDrop’s Mobile Applications and Web Applications and related services, products, features, technologies and software (including but not limited to www.peerdrop.com), collectively known as “Products'' or “PeerDrop”. Peers and Patrons will be collectively known as the “Users”. PeerDrop will not charge you for downloading the mobile application or using the web application. However, a Drop Fee and Service Charges are charged every time a Patron orders grocery through the PeerDrop app. As a compensation, a portion of the total Drop Fee (barring bank charges) is paid to the Peer who brings the grocery for the Patron. The Peer is recommended to purchase grocery only from the listed stores in these Terms of Service. PeerDrop does not supervise, monitor, control, regulate, direct, or scope the Peer’s work. We, however, supervise and monitor your personal data and data associated with your usage of the application to resolve conflicts and disputes and ensure quality of our services. By using our Products, you enter into a legally binding agreement between you (the User) and PeerDrop. This agreement consists of all the terms in these Terms of Service, the Privacy Policy, and the Goodwill Commitment and will be known as the “Agreement” hereinafter. We will also use your usage and personal data to enhance the quality of our services. The usage of your data is governed by our privacy policy found on the PeerDrop website. PeerDrop has devised a customer centric policy for dealing with situations of conflict between the two parties involved known as the Goodwill Commitment. Goodwill Commitment is a part of PeerDrop’s Terms and Conditions. It must be noted that no section of PeerDrop’s Goodwill Commitment can be interpreted to dispute or refute any part of PeerDrop’s Terms & Conditions or Privacy Policy which in turn will remain in full effect. A copy of the Goodwill Commitment can be found on the PeerDrop website.

YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THE TERMS AND CONDITIONS LISTED IN THIS AGREEMENT. IF YOU DO NOT AGREE TO COMPLY WITH THIS AGREEMENT AND ADHERE TO ITS TERMS, YOU MAY NOT USE OR ACCESS PEERDROP AND ITS PRODUCTS.

Our Services

PeerDrop is an app-based platform that enables local grocery shoppers (Peers) to purchase groceries for online buyers (Patron). Peers are independent contractors attempting to drop groceries on their way for a certain compensation. Each order by the Patron will be known as “Drop Request” or “Order”, hereinafter. PeerDrop charges a Drop Fee and a Service Charge for every order performed. This Drop Fee and Service Charge constitutes the Peer’s compensation, the payment gateway transaction charges, and PeerDrop’s commission, and Bank Charges. You, hereby, acknowledge that PeerDrop is not an employment agency and the users are responsible for their own business decisions which may result in individual profit or loss.

Who can use PeerDrop?

  • To use PeerDrop, you must be 18 years old or older. You must be capable of agreeing to the terms listed in this agreement.
  • You must have read, understood, and agreed to abide by these Terms and Conditions, the Privacy Policy, and the Goodwill Commitment;
  • You must respect the privacy, property and data protection rights of all Users. You will act professionally and responsibly in your interactions with other Users;
  • You must complete all commitments you make to other Users. You will ensure thorough communication throughout your use of PeerDrop and its services;
  • Peers must drop the order at the Patron’s location within 2.5 hours of order acceptance. Any delays or obstacles must be communicated to the users.
  • You must only use PeerDrop’s in-app payment options to pay or receive payments for services provided by PeerDrop. You must not use sources other than PeerDrop to pay or receive the payments;
  • You must use the same name that you use in everyday life. You must upload a clear picture of yourself taken within a month of registration on the application. You must also provide accurate information about yourself.
  • When using PeerDrop, you must not act against applicable local, state, provincial, national, or international law;
  • You must not use PeerDrop for the purchase of any illegal substances or services;
  • You must disclose all motivations and interests that you may have with regards to PeerDrop. We must be informed of all journalistic, academic, investigative, or illegal activities that you would wish to perform in connection to PeerDrop. You will be responsible for disclosing any convictions and cautions in writing that arise during your use of PeerDrop.

  • YOUR FAILURE TO COMPLY WITH THE AFOREMENTIONED CRITERIA WILL DISQUALIFY YOU FROM USING PEERDROP AND ITS SERVICES.

Prohibited Behaviour

When using PeerDrop and its products, you are not allowed to do the following:

  • violate this agreement including the Terms of Service, Goodwill Commitment, Privacy Policy or any other terms applicable on you;
  • conduct illegal, misleading, abusive or fraudulent activities;
  • violate or infringe someone else's rights, including rights of privacy, confidentiality, reputation, publicity, and other similar rights;
  • upload content that is political in nature and endorses any political parties and stances;
  • upload files containing viruses or malicious code (including but not limited to, Trojan horses, corrupt files, SQL injections, worms, timebombs) or do anything that could disable, harm, or damage the proper functionality or appearance of PeerDrop or its services;
  • advertise or sell any products or services through PeerDrop which are not relevant to PeerDrop’s services;
  • get involved in conduct that is unlawful or deemed dangerous, damaging or otherwise inappropriate by PeerDrop;
  • impersonate another person;
  • download any file posted by another User such as receipts cannot be legally distributed through PeerDrop;
  • claim that any of your statements are supported or advocated by PeerDrop unless a written consent has been given to you by PeerDrop to make such claims;
  • Make use of PeerDrop for your own commercial use.
  • Upload sexual, abusive, or violent content;
  • Use contact information and communication channels of PeerDrop to employ users for other businesses, websites, or services.
  • Use PeerDrop to collect contact information of other users such as usernames, phone numbers, email addresses, or other similar information of Users;
  • Use PeerDrop or Drop Request services in violation of this Agreement;
  • Use PeerDrop in a manner that is false or misleading (directly or by omission or failure to update information), or for the purpose of accessing or otherwise obtaining PeerDrop’s trade secret information for public disclosure or other purposes;
  • Try to make payments for orders from methods not listed in this agreement;
  • Attempt to make an account with the same or different name, phone number, or after PeerDrop has suspended or terminated your account;
  • Use tools that mask your IP address

User Background Checks

By using PeerDrop, you are acknowledging that PeerDrop will conduct soft background checks before the user registers as a Peer. The background check assesses the profile, criminal history, and consists of similar verification checks. The background check will be conducted by a third party service. PeerDrop, however, does not assert that the information provided by the user is accurate and the user is who he claims she/he is. This background check is not an endorsement of any kind and does not verify whether the user is licensed, skilled, safe, or reliable.

Recommended stores

The Peer is recommended to only purchase grocery from the following listed superstores:

  • Tesco
  • Asda
  • Sainsbury
  • Waitrose & Partners
  • Ocado
  • Morrisons
  • Aldi
  • Lidl
  • Marks & Spencer
  • Co-op Food

The Peer is allowed to purchase groceries from these stores only if the total cost of purchase (the receipt total) is less than the estimated amount given by PeerDrop. The Peer will be unable to complete the Drop request if the cost of purchase of the order is more than the estimated amount provided by PeerDrop. For this reason, the Peer is strongly advised to purchase the items from the 10 listed stores. Peers are neither the employees of PeerDrop nor the employees of the Patrons. They are not in any way hired to drop groceries for the Patrons. PeerDrop does not fulfil the order itself either. Neither PeerDrop nor any of its partners, affiliates, licensors, attorneys or employees are responsible or liable for the conduct or acts of the user whether online or offline. You hereby agree to release PeerDrop and all of its affiliates and partners from any liability, claims, demands, or damages of any kind.

Patron and Peer Service Agreement

When a Peer accepts a Drop Request, a “Service Agreement” will be formed between him and his Patron. This service agreement will not create an employment status for the Peer. The Peer will not be considered an employee of PeerDrop or the Patron according to this service agreement. Users do not have the authority to enter into written or oral — whether implied or express — contracts on behalf of PeerDrop. PeerDrop merely connects people and is not liable for the User’s actions, conduct, omissions, or statements that are false or misleading. PeerDrop neither has control over the timeliness, performance, integrity, or legality of an order nor the conduct, qualification, or competence of the Peer or Patron. PeerDrop does not fulfil the orders. Peers use their own conveyance to complete the order. Peers have the right to accept or reject an order of their own volition. Since Peers are not employees, they are completely free to provide similar services to other platforms including PeerDrop’s competitors. PeerDrop does not assign hours or terms of work for the Peer, however, once the Peer accepts a Drop Request, he is responsible and obligated to complete the order. PeerDrop does not control, direct, or scope the Peers’ performance of their services or set their work locations or work hours. PeerDrop monitors the user’s activity within the application to resolve disputes fairly (according to the limited information available) and improve our services. Peers are not obligated to perform the orders themselves. They can appoint individuals known as “Peer Assistant” who can perform the orders on their behalf. Since no background checks will be conducted on the Peer Assistant, the Peer is solely responsible for the conduct and the actions of the Peer Assistant. The Peer Assistant will assume the complete responsibility of the Peer as stated in this Agreement. PeerDrop only promises to cater to the Peer; the operations of such an assignment will be handled completely by the Peer and their Assistant. This, however, does not ensure that the Peer Assistant will receive the same benefits stated in the Goodwill Commitment or the rest of the agreement. Similarly, Patrons are not obligated to collect the orders themselves. They can appoint individuals known as “Patron’s Rep” who can collect the orders on their behalf. The Patron is solely responsible for the conduct and the actions of the Patron’s Rep. The Peer may take and follow direction from the Patron’s Rep as if such direction was given from the Patron himself/herself. If you are a Patron’s Rep or Peer’s Assistant and accessing and using PeerDrop on behalf of a user, you warrant that you have the authority to act as their agent and to bind that person as the principal to all provisions of the Terms and Conditions. PeerDrop cannot be held responsible for the acts, omissions, or conduct of the Peer Assistant or the Patron’s Rep.

Billing and Payment

PeerDrop will charge a Drop Fee and Service Charge depending on the value of the order. The Drop Fee and Service Charge will comprise of the Peer’s commission, bank charges, and PeerDrop’s commission. The Patron will pay the cost of purchased items along with the Drop Fee and Service Charge “Total Cost of Order”. The total amount to be paid by the Patron will be virtually transferred to PeerDrop after the order acceptance. Only after the order completion, the payment will be made to the Peer. Order completion will be indicated when the Peer inputs the valid One-Time Password (OTP) given to him by the Patron. The Peer will have to use his own funds to purchase groceries for the Patron. PeerDrop will try to reimburse the Peer with the cost of purchased items and his/her commission, within 48 hours of the order completion. However, if any delays occur in this transfer of funds, PeerDrop cannot be held responsible. The Patron and the Peer will be displayed an overestimate of the actual cost of purchased items. The actual cost will be determined by the store from which the items are being purchased. PeerDrop does not set the prices of the listed items. Since the Drop Fee and Service Charge depends upon the actual cost of purchased items, the commission of the Peer will be determined by the actual order value as well. The actual cost mentioned in the receipt cannot be greater than the estimate provided by PeerDrop. The difference between the estimate and the total cost of order (Drop Fee and Service Charge + cost of purchase) will be reimbursed to the Patron. If the Peer fails to complete an order, the Patron’s payment will be reversed, and he/she will be reimbursed for his/her payment. The Peer will provide the receipt to the Patron via the mobile application and physically as well. The Patron has the right to reject the order, if the Peer does not provide him the receipt physically. Each order must have a completely different receipt and must include only the items that the Patron has requested to be purchased. The receipt must not include any other item that the Patron has not listed or agreed to substitute. You must only use PeerDrop’s in-app payment options to pay or receive payments for services provided by PeerDrop. You must not use sources other than PeerDrop to pay or receive the payments.

Users of PeerDrop will provide their payment method and bank account details to PeerDrop and the Payment Service Provider (“PSP”). The Peer will need to register an account with the PSP as well and provide his/her bank account details so that PeerDrop can make payments. By using PeerDrop, you acknowledge that you will read, understand, and agree to the Terms and Conditions of the PSP as well. You also acknowledge that PeerDrop is not a party to the PSP Services Agreement and that you, the PSP and any other parties listed in the PSP Services Agreement are the parties to the PSP Services Agreement. PeerDrop has no liability, responsibility, or obligation to any of the User under the PSP Service agreement. When the Patron receives confirmation through PeerDrop or via email that a Drop Request has been accepted, the Patron automatically authorizes the PSP to process the payments (Total Cost of Order). PeerDrop has the right to put orders, accounts, payments, refunds, or reimbursements on hold or suspend them upon suspicion of fraud, unauthorized charges, or any other misuse of PeerDrop. This does not, however, mean that PeerDrop is obligated to perform such an activity. Users will be liable for any taxes (including VAT) required to be paid on Drop Requests provided under this Agreement. PeerDrop will not be held responsible for any violation of the Peer's tax obligations, it being specified that PeerDrop shall not be held jointly and severally liable for VAT, interest on overdue VAT, or for any penalties or fines that would be owed by the Peer. The Patron will pay their Peer(s) in full for all Drop Requests via the PSP as indicated on PeerDrop, at the rates of the store from which the Peer purchases the listed items. For reference, the Peer will upload the receipt of the order so that the Patron can confirm the total cost of purchased items. Each User agrees to abide by the Service Agreement and this Agreement during the performance and completion of Drop Request.

Tipping

The Patron has the option to provide a tip to their Peers after the order completion. This will be a separate transaction from the original order and it’s relevant fees. Note that since the tip will be a separate transaction, it will entail separate payment gateway transaction fees. PeerDrop does not earn any profit on this transaction. The payment gateway transaction fees will be deducted from the amount of the tip, and the remainder will be transferred to the Peer’s account.

Order Cancellation

The Patron has the option to cancel an order until a Peer is found without incurring any penalty. If an order is cancelled after that, service charges will be applicable. The Peer can cancel the order before they start shopping without incurring any penalty. Any cancellation after that will be penalized. Cancellation charges will be applicable on the Peer if he accepts the Drop Request but fails to complete it within the specified time or cancels it. Cancellation charges may vary depending on the status of the order and the efforts of the Peer. If the Patron fails to collect the order, the Peer will receive his commission only. The rest of the amount will be transferred to the Patron. The Peer can choose to keep the items.

Consent for receiving SMS

By continuing you will receive a one-time verification code to your phone number by SMS during the registration of the platform and during the process of dropping an order through PeerDrop. Message and data rates may apply.

Promotional Codes and Benefits

Promo codes and Benefits are provided to the Peers and Patrons to provide ease and convenience in the services provided to them by PeerDrop. PeerDrop is not obligated to provide these promo codes and benefits to its users. PeerDrop reserves the right to remove or modify any promo codes and benefits at our sole discretion without a prior notification. These promo codes do not affect the compensation made to the Peer for his services. Promo codes and benefits are merely promotional activities and do no in any way constitute wages or salaries. You acknowledge and agree that you will use these promo codes and benefits in accordance with the terms listed in this agreement. A new user Promo Code or Benefit will only be used once by any user, regardless of the email address or phone number used during the registration process. If the promo codes and benefits availed by any user are found to be involved in fraudulent, illegal, or in violation of this agreement, PeerDrop has the right to deduct credits and place orders, accounts, payments, refunds, or reimbursements on hold. Promo codes and benefits cannot be combined with other promo codes and benefits to receive additional utility. Only a single promo code is allowed to be used for a single transaction. Promo codes and benefits cannot be used to pay tip/gratuity, cancellation charges, or any other penalties enforced by PeerDrop on any user.

Feedback, Reviews, and UGC

User Generated Content is data that you generate on PeerDrop. PeerDrop does not possess ownership of such data; PeerDrop is merely a platform where UGC is hosted and transmitted. PeerDrop is not liable, responsible, or accountable for UGC because we are not involved in the creation or generation of such content. If such content is deemed inappropriate, found to be abusive, or in violation of national or international law, you are advised to report such an issue to us on the following: support@peerdrop.com. You agree that the UGC that you provide will be accurate and complete. You also hereby warrant that such data will not be misleading, false, abusive, inappropriate or in violation of anyone’s rights, national, or international law. PeerDrop reserves the right to limit or disable its services if a user is found to provide content that violates this agreement. Following data is prohibited to be shared on PeerDrop:

  • Content that is sexual, harassing, defamatory, threatening, unlawful, abusive, fraudulent or involve the purchase or sale of illegal or counterfeit items;
  • upload files containing viruses or malicious code (including but not limited to, Trojan horses, corrupt files, SQL injections, worms, timebombs) or do anything that could disable, harm, or damage the proper functionality or appearance of PeerDrop or its services;
  • Content that infringes the rights of other Users, PeerDrop, or any third party;
  • Pornographic content
  • Content that expressly states or implies that any user is an employee or hired by PeerDrop in any manner;
  • Content that results in any sort of liability for PeerDrop and third parties.

User Generated Content on PeerDrop will not be sold or shared to any third party. This data will be analyzed, assessed, and processed to monitor and improve the quality of the services that we provide. PeerDrop is a platform that hosts UGC related to ratings and feedback of certain Peers or Patrons. Feedback is a User’s opinion about the services, interaction, experience with another user. It is not verified by PeerDrop, and we are not liable or accountable for such content. PeerDrop advises users to provide honest and helpful feedback that allows them to measure and improve their performance. It is not mandatory for PeerDrop to assess or analyze whether such content conforms to the terms of this agreement, national law, or international law. PeerDrop, however, reserves the right to investigate such content at its sole discretion. You hereby agree that you will not take any action against PeerDrop or the users if you disagree with any feedback. However, if you think such feedback violates the terms of this agreement, you are encouraged to submit a complaint on the following email address: support@peerdrop.com.

Account Suspension or Termination

PeerDrop reserves the right to suspend or terminate accounts at its sole discretion. Such deactivation of accounts will be done when the user is found to breach this agreement or threatens the safety of the PeerDrop’s users and affiliates. PeerDrop will investigate the breach of agreement and will pass a verdict whether to continue or discontinue the services based on the information available. You will receive a notification regarding the suspension or the termination of the account via email or SMS. If you intend to challenge this determination, you must submit an appeal on support@peerdrop.com within 14 days of the notification. If PeerDrop deactivates your account, you are not allowed to create a new account on PeerDrop with the same or different name, phone number, or email address. The agreement shall remain applicable to you even after your account has been terminated or suspended. PeerDrop reserves the right to take legal action against you if a breach occurs. PeerDrop reserves the right to limit the access of services provided to you by PeerDrop. If you disagree with the terms listed in this agreement, you may stop using PeerDrop. This agreement will, however, still be enforceable and applicable on you regardless of the termination of the agreement.

Disclaimer of Warranties

Use of PeerDrop is Entirely at Your Own Risk

PeerDrop’s services are provided to the users on an “as is'' basis. This does not conditional or includes any warranties, either explicit or implicit. PeerDrop does not make any warranties about the accuracy or completeness of the data available on PeerDrop and its products or the data of any third party websites linked to PeerDrop and will not assume any liability or responsibility in contract, warranty or in tort for any

  • errors, mistakes, or inaccuracies of the data,
  • personal injury or property damage, of any nature, arising from your usage and activity on PeerDrop
  • any access to or use of our secure servers and/or any and all personal information and/or financial information stored therein;
  • events beyond our reasonable control.

PeerDrop does not make any guarantees that suggest, express or implied, that the services we provide will be completely uninterrupted, impeccable, or error-free. We also do not provide guarantees that suggest that we will be perfectly reliable at all times with regards to the completion and timeliness of the order. PeerDrop also does not provide any warranties that suggest, express or implied, that PeerDrop and its products are completely free of any viruses or similar malfunctions. PeerDrop, however, will attempt to the best of our ability to provide safe and secure services.

Indemnification

By using PeerDrop, you consent to indemnify, safeguard, and hold PeerDrop and its affiliates harmless from any liabilities that may arise as result of using PeerDrop. You also indemnify PeerDrop of any liabilities regarding the following:

  • your activity or incapability to use PeerDrop and its products
  • your ability or inability to drop, complete, or fulfil an order
  • your ability or inability to order
  • your breach of this agreement
  • your infringement of any law, or the rights of any user or third party
  • your failure to adhere to your warranties and agreement
  • any content uploaded on PeerDrop through your account whether authorized by you or not
  • if you are a Patron, the acts or omissions of any Patron’s Reps
  • if you are a Peer, the acts or omissions of any Peer’s agent

You will not, in any event, settle any claim or matter before receiving written consent of PeerDrop.

Passwords and Contact Information

You must go through the registration process with PeerDrop and create an account to use PeerDrop. Peers will have to go through additional steps for further verification. You agree that you are the sole authorized user of your account. You are responsible for the confidential information that you use to access PeerDrop such as passwords, OTPs, bank account details, credit/debit card details. The user is solely and completely liable for all activities performed through your password or account, even if not permitted or authorized by you. PeerDrop does not control, scope, or direct the activity of any User’s account and explicitly disclaims any liability that arises as a result. You confirm that any contact information provided to PeerDrop and Users, including, but not limited to, your actual name, email address, mailing address, or your phone number, is valid and accurate. You confirm that you are the current account holder and owner of the contact information that you provide. You are strictly disallowed to provide a phone number that is owned by someone else. If we find out that any information given by you is false or inaccurate, we may suspend or terminate your account. If your contact information changes, you agree to inform PeerDrop before the modification is made via emailing to support@peerdrop.com.

Alcohol and Cigarettes Policy

The Patrons can order alcohol and cigarettes through our platform if the Patrons are 18 years old or above. The Peer will ask for your proof of age if the Patrons look under 25 years. Valid driving licenses or passports may be shown to the Peer for the completion of the Drop Request. If you are unable to comply, the Peer will return the product and the Patron will be charged partially. When an order includes alcohol or cigarettes, the Peer must ensure that the person collecting the drop is above the age of 18 years. The Peer must request for a proof of age if the Patron looks under the age of 25 years. Valid driving licenses or passports are to be accepted as proof. If the Patron is unable to comply, the Peer will return the product and get compensated at the designated rate.

Dispute Resolution

You hereby agree that you and PeerDrop will first attempt to negotiate a dispute, pertaining to you and resulting from the usage of PeerDrop , for a minimum of 30 days before filing for any court proceeding. An electronic notification will be provided to you via email or SMS before the notices are sent physically to the mailing address that you provide by email at support@peerdrop.com.

Additional Provisions

  1. Updates in Terms of Service

    We work regularly to improve our Products and design new features to make our services better for you and our community. Consequently, we modify these Terms of Service constantly to ensure transparency in our practices. We introduce updates if the terms are no longer relevant or if they are incomplete, and only if the changes are reasonable and take due account of your interests. If you do not agree to the updated Terms, you can deactivate your account at any time. If any terms in the agreement are found to be illegal or in violation of the law, we will change, modify, or remove them from this agreement.

  2. Intellectual Property

    All images, animations, text, content, data, graphs, designs, sounds, software, videos, logo, and other content are the property of PeerDrop and are subject to international or national copyright. However, User Generated Content (UGC) is not owned by PeerDrop, and we are not liable or accountable for such content. PeerDrop’s content cannot be copied, downloaded, or used without our consent or approval. Any other content that is not owned by PeerDrop but is used on our application or our products cannot be downloaded, copied, or used without the consent of the relevant owner.

  3. Mobile App Updates and Upgrades

    By using PeerDrop and its products, you acknowledge and agree that we will frequently release upgrades and updates. We may restrict access of the application, at our sole discretion, for a user until the user installs a certain update. Your activity data will be automatically transmitted to our servers and will be monitored to provide you quality services. You have the right to uninstall the application at any time.

  4. Confidential Information

    All of PeerDrop’s trade secrets, confidential information, proprietary information, and other private information of PeerDrop that is not known to the public (known as “Confidential Information” hereinafter) will not be disclosed under this agreement. You agree to use best efforts to protect this confidential information. This confidential information further includes user, technical, software, features, markets, products, processes, finances, designs, marketing, employee, or other similar data.

  5. Licensing

    Peers alone are responsible for identifying and obtaining any required licenses, permits, or registrations before offering services and undertaking Drop Requests. Penalties may include fines or other law enforcement. Since PeerDrop does not supervise, scope, direct, control, or monitor a Peer’s performance, Patrons must determine themselves if a Peer is qualified to fulfil a specific Drop Request.

  6. Phone Communication

    By providing your phone number to PeerDrop, you are agreeing to receive calls and text messages for promotional offers, marketing material, Drop Requests, service outages, updates, review, and feedback. PeerDrop will not pay any charges for calls or texts. You can opt-out of receiving such calls and messages by emailing us at support@peerdrop.com.

  7. No Liability

    Regardless of any other term in this agreement, nothing in these Terms and Conditions excludes or limits liability for:

    • death or personal injury caused by PeerDrop’s negligence;
    • fraud or fraudulent misrepresentation;
    • any other liability that, by law, may not be limited or excluded.

    You, hereby, acknowledge that PeerDrop will only make its services available for you if you consent to some limitations of our liability to you and third parties. Therefore, you agree not to hold PeerDrop and Affiliates, or their corporate partners, liable for any claims, demands, damages, expenses, losses, governmental obligations, suits, and/or controversies of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, direct, indirect, incidental, actual, consequential, economic, special, or exemplary, including attorney’s fees and costs (collectively, “Liabilities”) that have arisen or may arise, relating to your or any other party’s use of or inability to use PeerDrop, including without limitation any Liabilities arising in connection with the conduct, act or omission of any User (including without limitation stalking, harassment that is sexual or otherwise, acts of physical violence, and destruction of personal property), any dispute with any User, any instruction, advice, act, or service provided by PeerDrop and Affiliates, and any destruction of your User Generated Content.

  8. Governing Law

    This Agreement and your usage of PeerDrop will be regulated by English law, and any conflict pertaining to this Agreement or the usage of PeerDrop shall be handled by English courts. Nothing will stop PeerDrop from bringing proceedings to safeguard and protect our intellectual property rights before any competent court.

  9. Notices and Consent to Receive Notices Electronically

    You hereby agree that PeerDrop can send you notifications, marketing content, and promotional material electronically via email, SMS, or push notifications.

  10. Consent to Electronic Signatures

    By using PeerDrop and its products, you electronically consent and agree to the terms and conditions mentioned in this Agreement including Terms of Service, Privacy Policy, and the Goodwill Commitment.

  11. Insurance

    PeerDrop does not provide any insurance such as health or property insurance to any of its users. The users are responsible for all of their own insurance required to conduct your business and provide your services.

  12. Links to Third Parties

    PeerDrop’s products may contain links to third party websites. This should not be construed as an endorsement of these websites. PeerDrop does not scope, direct, or control these websites, and we cannot be held responsible for the accuracy of the information or the content provided on these websites. You hereby agree that PeerDrop is not responsible for any risk or liability that may arise from the usage of links on PeerDrop.

  13. General Provisions

    Even if PeerDrop fails to enforce any terms of this agreement, users must abide by them in any case; It should not be considered a waiver of any of the terms listed in this agreement. This agreement governs and supersedes all previous agreements and communications unless stated otherwise by PeerDrop. You acknowledge and agree that you will interpret these terms in a manner that makes them valid, legal, and enforceable.

I HEREBY ACKNOWLEDGE THAT I HAVE READ, UNDERSTAND, AND AGREE TO THE AFOREMENTIONED TERMS OF SERVICE, THE PRIVACY POLICY AND GOODWILL COMMITMENT AND AGREE THAT MY USE OF PEERDROP IS AN ACKNOWLEDGMENT OF MY AGREEMENT TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
